Terms of Service

1. Acceptance of Terms

By accessing or using Kitout ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Definitions

"Platform" refers to the Kitout website, services, and all related applications.

"Club" refers to a sports club, community organisation, or similar group that creates and manages a store on the Platform.

"Customer" refers to any person who purchases merchandise through a Club's store on the Platform.

"Club Admin" refers to individuals authorised by a Club to manage its store, products, and settings.

3. Accounts

To create a store or manage a Club on the Platform, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate, current, and complete information during registration and keep it updated. We reserve the right to suspend or terminate accounts that contain false or outdated information.

4. Clubs

Clubs use the Platform to create branded merchandise stores. By creating a store, Club Admins represent that they have the authority to act on behalf of their Club and that any artwork, logos, or designs uploaded do not infringe on third-party intellectual property rights.

Clubs are responsible for the accuracy of product descriptions, pricing (including any markup they set), and ensuring their store content complies with applicable laws.

5. Customers

Customers may browse stores and purchase merchandise without creating an account. By placing an order, Customers agree to provide accurate shipping and payment information.

Customers acknowledge that products are made to order via print-on-demand services, which may affect delivery times and return eligibility.

6. Orders & Fulfilment

All products are manufactured and fulfilled by third-party print-on-demand providers. The Platform facilitates the ordering process but does not directly manufacture, stock, or ship products.

Estimated delivery times are provided as a guide and are not guaranteed. We are not liable for delays caused by print-on-demand providers, shipping carriers, or events outside our control.

7. Payments

Payments are processed securely via Stripe. When a Customer places an order, payment is collected and distributed as follows: production costs are paid to the print-on-demand provider, a platform fee is retained by Kitout, and the remaining margin is transferred to the Club's connected Stripe account.

Clubs must maintain a valid Stripe Connect account to receive payments. Kitout is not responsible for any issues arising from a Club's Stripe account configuration.

8. Intellectual Property

Clubs retain ownership of their logos, designs, and artwork uploaded to the Platform. By uploading content, Clubs grant Kitout a non-exclusive, worldwide licence to display and reproduce the content solely for the purpose of operating the Platform and fulfilling orders.

The Kitout name, logo, and Platform design are the property of Kitout. You may not use our branding without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Kitout is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or goodwill.

Our total liability to you for any claim arising from or related to these Terms shall not exceed the total fees paid by you to Kitout in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the Platform ceases immediately, though provisions that by their nature should survive (such as intellectual property, limitation of liability, and governing law) will remain in effect.

Clubs may close their store at any time. Outstanding orders placed before closure will be fulfilled.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform or email. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
